Welcome to Solitude Sauna.
The terms “Solitude Sauna,” “we,” “us,” and “our” refer to Solitude Products Inc., operating as Solitude Sauna.
Solitude Sauna operates this website and online store, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping and purchasing experience collectively referred to as the “Services.”
Our online store is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service, together with any policies, product specifications, order confirmations, written purchase agreements, warranty documents, or other terms referenced herein, describe your rights and responsibilities when you access or use the Services or purchase a product from us.
Please read these Terms of Service carefully. They contain important information concerning your legal rights and obligations, including provisions relating to product orders, production timelines, delivery, installation, warranties, disclaimers, and limitations of liability.
By visiting, interacting with, or using the Services, creating an account, placing an order, or purchasing a product from us, you agree to be bound by these Terms of Service and our Privacy Policy.
If you do not agree to these Terms of Service or our Privacy Policy, you must not access or use the Services.
Nothing in these Terms is intended to exclude, restrict, or waive any right or remedy that cannot legally be excluded, restricted, or waived under applicable consumer-protection law.
Section 1 — Access and Accounts
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your province, territory, state, or country of residence.
You may permit minor dependants to access the Services using devices that you own, purchase, or manage, provided that you supervise their use.
To access certain parts of the Services, browse our online store, request information, or purchase products or services, you may be required to provide information including your name, email address, telephone number, billing information, payment information, and delivery address.
You represent and warrant that all information you provide is accurate, current, and complete and that you have the right to provide that information.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur through your account.
You must notify us promptly if you believe your account has been accessed or used without authorization.
You may not sell, transfer, assign, license, or otherwise provide your account to another person without our prior written consent.
Section 2 — Our Products
We make reasonable efforts to accurately describe and display our products and services.
However, colours and product appearance may vary depending on your screen, device, display settings, lighting conditions, photography, rendering, and other factors.
We do not guarantee that the colour, appearance, finish, or visual presentation of a product will be identical to how it appears on your screen, in a photograph, or in a digital rendering.
Product descriptions, specifications, components, inclusions, pricing, availability, finishes, dimensions, and features may be updated or changed at any time.
We reserve the right to discontinue a product, modify a product, substitute a substantially comparable component, or limit the availability or quantity of a product in any geographic region or jurisdiction, subject to applicable law and any written agreement entered into with the customer.
Any material substitution affecting an accepted customer order will be addressed in accordance with the applicable order confirmation or purchase agreement.
Natural wood and material variations
Our saunas are constructed using natural wood and other materials that may vary in appearance.
Natural variations in grain, colour, tone, texture, density, pattern, mineral streaks, knots where applicable, and other characteristics are inherent to wood and are not ordinarily considered defects.
Wood naturally responds to temperature, moisture, humidity, dryness, and seasonal conditions. As a result, wood components may expand, contract, darken, lighten, weather, develop minor surface checking, form small hairline cracks, or experience minor dimensional movement over time.
These natural changes are not considered manufacturing defects unless they materially impair the structural integrity or ordinary function of the product.
Minor variations may also occur between different boards, production batches, product samples, photographs, showroom units, and delivered products.
Product imagery and renderings
Photographs, videos, illustrations, digital renderings, floor plans, diagrams, staging, landscaping, backgrounds, accessories, and marketing materials are provided for illustrative purposes.
Some images displayed on our website or in marketing materials may be digitally rendered.
Unless expressly listed as included in the applicable product description, order confirmation, or purchase agreement, surrounding landscaping, foundations, electrical work, furniture, décor, accessories, and other objects appearing in an image are not included with the product.
Actual products may vary slightly in wood tone, grain, finish, hardware, lighting appearance, dimensions, component positioning, and other non-material details.
Dimensions and manufacturing tolerances
All dimensions, capacities, weights, heat-up times, electrical consumption estimates, and performance figures are approximate unless expressly guaranteed in writing.
Minor dimensional differences may result from natural materials, manufacturing tolerances, design improvements, transportation, assembly, or site conditions.
Customers must not rely exclusively on website measurements when preparing a foundation, access route, electrical connection, enclosure, deck, or surrounding structure. Customers should confirm applicable product drawings and requirements before beginning site preparation.
Section 3 — Orders and Order Acceptance
When you place an order, you are making an offer to purchase the selected products or services under these Terms and any additional terms presented at checkout.
An automated order confirmation or payment receipt confirms that we received your order. It does not necessarily mean that the order has been accepted for production or fulfilment.
An order is accepted only after:

the required payment has been successfully received and processed;
-
the product configuration and delivery information have been confirmed where necessary;
-
production capacity or available inventory has been confirmed; and
-
Solitude Sauna has confirmed acceptance of the order.
We reserve the right to accept, reject, limit, suspend, or cancel an order for legitimate business reasons, including:

product unavailability;
-
production capacity;
-
suspected fraud or unauthorized payment;
-
errors in pricing or product information;
-
delivery limitations;
-
inaccurate customer information;
-
inability to verify an order;
-
an order that appears to be intended for unauthorized resale; or
-
circumstances that make fulfilment commercially or legally impractical.
If we decline or cancel an order after receiving payment, we will return the applicable amount paid, subject to any lawful deductions agreed to by the customer or permitted under an applicable policy or purchase agreement.
We will attempt to notify you of an order change, rejection, or cancellation using the email address, telephone number, billing information, or other contact information provided with the order.
You are responsible for reviewing all product selections, specifications, finishes, heater selections, upgrades, delivery details, and customer information before submitting your order.
Cancellation requests are governed by our Refund and Cancellation Policy and any applicable written purchase agreement.
Production and made-to-order purchases
Certain products are manufactured, imported, configured, allocated, or ordered specifically for the customer.
Production capacity may be reserved after an order is accepted. Materials, components, freight space, or manufacturing services may also be committed on the customer’s behalf.
Once production, customization, allocation, procurement, or shipment has begun, an order may not be eligible for cancellation or a full refund, except where required by applicable law.
The specific cancellation and refund rules applying to an order are set out in our Refund and Cancellation Policy and any written purchase agreement provided to the customer.
Reserve and Save orders
Reserve and Save pricing is offered in exchange for an extended estimated lead time and advance placement within a scheduled production run.
By placing a Reserve and Save order, you acknowledge that:

the product may not be currently available in local inventory;
-
the product will be assigned to a future production or shipment schedule;
-
production and delivery dates are estimates rather than guaranteed dates;
-
the discounted price reflects the extended lead time and advance commitment;
-
delays may occur during manufacturing, ocean transportation, customs processing, inland transportation, inspection, or final delivery; and
-
cancellation and refund eligibility is governed by our Refund and Cancellation Policy and any applicable purchase agreement.
Personal and commercial purchases
Unless otherwise agreed in writing, products purchased through the online store are intended for the purchaser’s own personal, household, hospitality, wellness, or business use and not for unauthorized resale or export.
Commercial use may be subject to separate warranty terms, operating requirements, or written agreements.
Section 4 — Prices, Payments, and Billing
Prices, discounts, product packages, and promotions may change without notice.
The price charged will generally be the price displayed when the order is submitted, subject to correction of obvious errors, inaccuracies, unauthorized discounts, or technical malfunctions.
Unless expressly stated otherwise, displayed prices do not include:

applicable sales taxes;
-
shipping or delivery charges;
-
boom truck charges;
-
storage charges;
-
installation;
-
electrical work;
-
foundations or site preparation;
-
customs, duties, or import charges for deliveries outside Canada;
-
remote-location surcharges; or
-
other services not expressly listed as included.
Prices displayed online may differ from pricing offered through a showroom, sales representative, marketplace listing, distributor, trade program, promotional campaign, or previous production batch.
Different product configurations, materials, insulation packages, roofing systems, heaters, lighting systems, accessories, delivery arrangements, and lead times may result in different prices.
Promotions may be subject to separate terms. Where promotional terms conflict with these Terms, the promotional terms will govern the promotion.
You agree to provide current, complete, and accurate billing, payment, delivery, and account information.
You agree to update your information promptly where necessary so we can process your transaction, communicate with you, and complete delivery.
You represent and warrant that:
-
the payment information you provide is accurate and complete;
-
you are authorized to use the selected payment method;
-
the payment provider will honour the charges;
-
you will pay all amounts owing under your order or purchase agreement; and
-
you will pay all applicable taxes and additional charges properly disclosed or authorized under these Terms or your purchase agreement.
Where an order is subject to staged payments, deposits, progress payments, or a remaining balance, the applicable payment schedule will be identified in the order confirmation, invoice, or purchase agreement.
Failure to make a required payment may result in production being paused, shipment being withheld, delivery being rescheduled, storage charges being applied, or the order being treated in accordance with our Refund and Cancellation Policy and applicable law.
Section 5 — Shipping and Delivery
All production, shipping, arrival, and delivery dates are estimates only unless Solitude Sauna expressly guarantees a date in a signed written agreement.
Estimated timelines may change.
Delays may occur as a result of circumstances including:
-
manufacturing schedules;
-
raw material or component availability;
-
quality-control requirements;
-
production corrections;
-
supplier delays;
-
vessel schedules;
-
port congestion;
-
freight availability;
-
customs inspections or clearance;
-
government or regulatory inspections;
-
documentation processing;
-
labour disputes;
-
carrier delays;
-
road conditions;
-
severe weather;
-
storms;
-
natural disasters;
-
mechanical breakdowns;
-
border delays;
-
public-health events;
-
fire;
-
war;
-
civil disruption; or
-
other circumstances beyond our reasonable control.
To the extent permitted by law, Solitude Sauna is not liable for losses caused solely by a reasonable delay outside our control.
We will make reasonable efforts to communicate material changes to estimated delivery timelines.
Delivery access
The customer is responsible for ensuring the delivery location can be safely and reasonably accessed by the required delivery vehicle and equipment.
This may include ensuring:
-
adequate road width;
-
sufficient overhead clearance;
-
suitable turning space;
-
stable ground conditions;
-
removal of snow, vehicles, debris, branches, wires, or other obstructions;
-
sufficient access for a boom truck where applicable; and
-
a safe and identifiable unloading location.
The customer must inform us before delivery of any access limitations, private roads, steep grades, soft ground, narrow driveways, restricted bridges, overhead wires, trees, gates, seasonal road conditions, or other conditions that could affect delivery.
Solitude Sauna and its delivery providers may refuse to proceed with an unloading or placement where the operator reasonably determines that doing so would be unsafe or could damage property, equipment, vehicles, or the product.
Additional delivery costs
Additional charges may apply where:
-
delivery access differs materially from the information provided by the customer;
-
specialized boom truck equipment is required;
-
additional reach or lifting capacity is required;
-
the delivery must be attempted more than once;
-
the customer is unavailable at the agreed delivery time;
-
the site is not ready;
-
the delivery location changes;
-
the product must be stored;
-
the carrier must wait beyond the included unloading period;
-
road or site conditions prevent delivery; or
-
additional labour or transportation is reasonably required.
The customer is responsible for additional charges caused by inadequate site preparation, inaccurate delivery information, inaccessible property, customer-requested changes, missed appointments, or conditions under the customer’s control.
Placement
Unless expressly agreed otherwise in writing, delivery does not include unlimited placement anywhere on the customer’s property.
The final placement location must be reasonably accessible and safe for the delivery operator and equipment.
The operator has final authority regarding safe boom truck positioning, lifting, unloading, and placement.
Solitude Sauna does not guarantee placement in a specific location where access, reach, overhead clearance, soil conditions, weather, property configuration, equipment limits, or safety concerns make the requested placement unsuitable.
Ownership and risk
Ownership and risk of loss will transfer in accordance with the applicable purchase agreement, delivery arrangement, and mandatory law.
Nothing in these Terms limits any right the customer may have against Solitude Sauna or a carrier for loss or damage occurring before risk legally transfers to the customer.
Section 6 — Delivery Inspection and Damage Reporting
The customer, or an authorized person acting on the customer’s behalf, must inspect the shipment promptly upon delivery.
Before signing a delivery receipt, the customer should inspect the exterior packaging and visible portions of the product for:
-
impact damage;
-
broken or cracked glass;
-
punctures;
-
crushed packaging;
-
water exposure;
-
shifted contents;
-
missing packages;
-
missing accessories; or
-
other visible damage.
Any visible damage, shortage, or irregularity should be clearly noted on the carrier’s delivery receipt before it is signed.
The customer must report visible delivery damage or missing items to Solitude Sauna within forty-eight (48) hours after delivery.
The report should include:
-
the customer’s name;
-
order information;
-
a description of the issue;
-
photographs of the packaging;
-
photographs of the damaged area;
-
photographs showing the product as delivered; and
-
a copy or photograph of the delivery receipt where available.
The customer should preserve damaged packaging and components until Solitude Sauna or the carrier confirms that they may be discarded.
Failure to inspect the shipment, document visible damage, retain packaging, or report the issue within forty-eight (48) hours may limit our ability to submit or support a freight claim.
This reporting period does not eliminate any mandatory right or remedy that cannot legally be excluded.
Damage that was concealed and could not reasonably have been discovered during delivery must be reported promptly after discovery.
Solitude Sauna may request further photographs, video, documents, access to the product, or an inspection before determining the appropriate resolution.
Section 7 — Foundations, Site Preparation, and Installation
The customer is responsible for preparing a suitable installation location unless the applicable purchase agreement expressly states otherwise.
Foundation requirements
The sauna must be placed on a properly prepared, stable, level, and adequately supported foundation.
A concrete foundation is not necessarily required unless specified for the selected product or site. Suitable foundation options may depend on the product, soil conditions, drainage, climate, location, and intended use.
The foundation must:
-
be level;
-
provide adequate structural support;
-
resist movement and settlement;
-
provide suitable drainage;
-
keep the sauna appropriately supported; and
-
meet the applicable product preparation specifications provided by Solitude Sauna.
Solitude Sauna is not responsible for damage, movement, misalignment, door issues, water accumulation, structural stress, or performance concerns caused by an unsuitable, uneven, unstable, undersized, poorly drained, or improperly constructed foundation.
Site preparation
The customer is responsible for:
-
preparing and levelling the site;
-
confirming the final placement location;
-
maintaining sufficient clearance around the sauna;
-
removing access obstructions;
-
arranging landscaping work;
-
arranging foundation construction;
-
identifying underground or overhead hazards;
-
preparing electrical service;
-
confirming delivery access; and
-
ensuring the location is ready before the scheduled delivery or installation.
Unless expressly included in writing, site preparation, excavation, grading, landscaping, foundations, electrical work, snow removal, tree removal, and restoration of disturbed surfaces are not included in the product price.
Electrical work
Electrical connections must be completed by a qualified electrician using the manufacturer’s specifications and applicable electrical requirements.
The customer is responsible for confirming the electrical requirements of the selected heater and accessories before installation.
Solitude Sauna is not responsible for damage, malfunction, delay, loss, injury, or additional expense resulting from:
-
improper electrical installation;
-
inadequate electrical supply;
-
incorrect breaker or conductor sizing;
-
unauthorized electrical modifications;
-
failure to follow wiring instructions;
-
incompatible electrical service;
-
loose or improper connections; or
-
electrical work performed by a third party.
Third-party installers and contractors
Unless a contractor is expressly identified in writing as an employee or authorized agent of Solitude Sauna, electricians, foundation contractors, landscapers, installers, delivery providers, and other independent contractors are separate service providers.
Solitude Sauna is not responsible for the acts, omissions, representations, pricing, workmanship, scheduling, or services of an independent third party, except to the extent responsibility cannot legally be excluded.
Customer modifications
Customers must not modify the structure, heater, wiring, ventilation, glass, roof, weather seals, control system, or other components in a way that conflicts with product instructions.
Unauthorized modifications may create safety risks and may affect warranty coverage to the extent the modification caused or contributed to the claimed issue.
Section 8 — Product Operation, Maintenance, and Customer Responsibilities
The customer is responsible for reviewing and following all operating, maintenance, heater, electrical, safety, and care instructions provided with the product.
The customer must take reasonable steps to protect and maintain the sauna, including:
-
maintaining suitable ventilation;
-
allowing the sauna to dry after use;
-
keeping drainage paths clear;
-
monitoring wood condition;
-
maintaining exterior finishes where required;
-
keeping the sauna clean;
-
inspecting seals, fasteners, roofing, glass, and electrical components;
-
clearing excessive snow accumulation where reasonably necessary;
-
following heater instructions; and
-
promptly addressing water intrusion, electrical concerns, or unusual operation.
Failure to perform reasonable maintenance may cause deterioration and may affect warranty coverage where the lack of maintenance caused or contributed to the issue.
Saunas must not be operated where there is a known electrical defect, damaged heater component, broken glass, significant structural damage, burning smell, smoke, sparking, or other condition that may present a safety risk.
The customer must stop using the affected product and contact Solitude Sauna or a qualified professional where a potentially unsafe condition exists.
Section 9 — Sauna Safety
Sauna use involves exposure to elevated temperatures and may not be appropriate for every person.
Users are responsible for using the sauna safely and according to the heater manufacturer’s instructions and any safety information provided with the product.
Individuals who are pregnant, have cardiovascular concerns, blood-pressure concerns, heat sensitivity, a medical condition, or take medication that may affect heat tolerance should consult an appropriate healthcare professional before sauna use.
Do not use a sauna while impaired by alcohol, recreational drugs, or any substance that may affect judgment, hydration, circulation, or heat awareness.
Children and individuals requiring assistance must be appropriately supervised by a responsible adult.
Users should:
-
remain adequately hydrated;
-
use reasonable session lengths;
-
avoid touching hot heater surfaces;
-
enter and exit carefully;
-
discontinue use when feeling dizzy, faint, unwell, overheated, or uncomfortable; and
-
seek appropriate assistance where symptoms persist.
Do not place combustible materials on or too close to the heater.
Do not cover the heater or interfere with required ventilation and safety clearances.
Customers must follow all heater-specific safety instructions, clearances, stone-loading requirements, and maintenance directions.
These general safety provisions do not replace product-specific instructions or professional medical advice.
Section 10 — Warranty
Product warranty coverage is governed by the written Warranty Policy applicable to the product and any additional warranty terms contained in the customer’s purchase agreement.
The Warranty Policy forms part of these Terms by reference.
Unless expressly stated otherwise in writing, a warranty claim does not automatically entitle the customer to a full product replacement or refund.
Depending on the circumstances, an available warranty remedy may include:

technical assistance;
-
replacement components;
-
repair instructions;
-
remote troubleshooting;
-
an inspection;
-
repair;
-
replacement of an affected component; or
-
another reasonable remedy permitted by the applicable warranty and law.
Solitude Sauna may require photographs, videos, error codes, electrical information, contractor notes, maintenance records, serial numbers, proof of purchase, or access to inspect the product before assessing a claim.
Warranty coverage does not extend to an issue to the extent it was caused or materially contributed to by:
-
improper installation;
-
inadequate site preparation;
-
an unsuitable foundation;
-
improper electrical work;
-
customer or third-party modifications;
-
misuse;
-
neglect;
-
failure to maintain the product;
-
ordinary wear;
-
natural wood movement;
-
unauthorized repairs;
-
improper storage;
-
transportation arranged independently by the customer;
-
incompatible accessories;
-
commercial use where not approved;
-
fire;
-
flooding;
-
severe weather;
-
accidental damage; or
-
another excluded cause stated in the Warranty Policy.
Nothing in this section limits any mandatory warranty, condition, or consumer remedy that cannot legally be excluded.
Section 11 — Refunds, Returns, and Cancellations
Returns, refunds, exchanges, deposits, order cancellations, and production-order cancellations are governed by our Refund and Cancellation Policy and any applicable written purchase agreement.
Due to the size, value, freight requirements, natural materials, and made-to-order nature of many of our products, saunas may not be eligible for return merely because of a change of mind.
An accepted order may become non-cancellable after production, customization, procurement, inventory allocation, or shipment has begun.
Any approved return may be subject to conditions including:

prior written authorization;
-
unused condition;
-
original packaging;
-
inspection;
-
transportation arrangements;
-
return freight costs;
-
restocking or administrative charges where lawful; and
-
deductions for damage, use, missing components, or diminished value.
Nothing in our Refund and Cancellation Policy or these Terms excludes a refund, cancellation, return, or other remedy required by applicable law.
Section 12 — Intellectual Property
The Services and their contents are owned by or licensed to Solitude Sauna and are protected by the copyright, trademark, industrial design, and other intellectual-property laws of Canada, together with applicable international treaties and laws.
Protected content may include:

the Solitude Sauna name and logo;

product names;
-
slogans;
-
website text;
-
product descriptions;
-
photographs;
-
videos;
-
graphics;
-
digital renderings;
-
diagrams;
-
technical drawings;
-
specifications;
-
reviews;
-
audio;
-
layouts;
-
designs;
-
branding;
-
website code; and
-
the arrangement and presentation of the Services.
These Terms permit you to access the Services for lawful personal or internal business purposes only.
Without our prior written consent, you must not:

reproduce;

republish;
-
copy;
-
distribute;
-
modify;
-
create derivative works from;
-
commercially exploit;
-
publicly display;
-
transmit;
-
scrape;
-
download in bulk;

store for commercial use; or

No provision of these Terms grants you ownership of or a licence to any trademark, copyright, design, patent, trade secret, or other intellectual property belonging to Solitude Sauna, Shopify, or another party except for the limited right to access the Services in accordance with these Terms.
“Solitude Sauna,” our logos, our product names, designs, and slogans are trademarks or trade names of Solitude Sauna or its licensors.
Shopify’s name, logos, service names, and related marks are trademarks of Shopify.
All other trademarks appearing through the Services belong to their respective owners.
Section 13 — Optional and Third-Party Tools
The Services may provide access to tools, financing services, payment services, applications, integrations, or other functionality supplied by third parties.
We may not monitor or control these third-party tools.
Unless expressly stated otherwise, third-party tools are provided on an “as is” and “as available” basis without endorsement by Solitude Sauna.
Your use of a third-party tool is at your discretion and may be governed by separate terms and privacy policies established by the third-party provider.
You should review and understand those terms before using a third-party service.
To the extent permitted by law, Solitude Sauna is not responsible for loss or damage arising solely from your use of an independent third-party tool or service.
We may introduce new tools, resources, or features through the Services. Those additions will form part of the Services and will be subject to these Terms unless separate terms are provided.
Section 14 — Third-Party Links
The Services may contain links to third-party websites, resources, products, services, or embedded functionality.
Third-party links are provided for convenience and do not necessarily mean we endorse, control, or guarantee the third party.
We are not responsible for evaluating the accuracy, completeness, availability, security, policies, or practices of third-party websites.
When you leave our Services and access a third-party website, you do so at your discretion.
Purchases from third parties are transactions between you and the third party unless expressly stated otherwise.
Questions or complaints concerning an independent third-party product or service should be directed to that provider.
Section 15 — Relationship With Shopify
Solitude Sauna’s online store is powered by Shopify, which enables us to provide the Services.
However, sales and purchases made through our store are made directly between you and Solitude Sauna.
Shopify is not the seller of Solitude Sauna products and is not responsible for fulfilling your order, delivering the product, installing the product, administering our product warranty, or providing customer service for the product.
To the fullest extent permitted by law, you release Shopify and its affiliates from claims arising solely from the sale, delivery, installation, or use of products sold directly by Solitude Sauna.
Nothing in this section limits any separate obligation Shopify may owe to you under its own services, policies, or applicable law.
Section 16 — Privacy
Personal information collected through the Services is handled in accordance with our Privacy Policy and applicable privacy law.
Because our store is hosted by Shopify, Shopify may collect and process information concerning your access to and use of the Services to host, secure, operate, and improve the platform.
Information submitted through the Services may be processed by Shopify, payment providers, analytics providers, delivery providers, marketing providers, customer-support providers, and other service providers that assist us in operating our business.
Some service providers may process information outside the province or country where you reside.
Please review our Privacy Policy for more information about how personal information is collected, used, disclosed, retained, and protected.
Section 17 — Feedback, Reviews, and Customer Content
If you submit, upload, post, email, tag, or otherwise provide ideas, suggestions, feedback, reviews, photographs, videos, testimonials, proposals, or other content, collectively referred to as “Feedback,” you grant Solitude Sauna a non-exclusive, worldwide, royalty-free, transferable, and sublicensable licence to use, reproduce, edit, adapt, publish, display, distribute, and promote that Feedback in any medium for lawful business purposes.
This licence continues unless otherwise required by law or agreed in writing.
You represent and warrant that:

you own the Feedback or have the necessary rights and permissions to provide it;

We are not obligated to honour an obvious pricing, discount, or technical error where doing so would be unreasonable or unlawful.

You may use the Services only for lawful purposes.
You must not use the Services, directly or indirectly:

We may suspend or terminate access to the Services where we reasonably believe these Terms have been violated.

This section applies where you use or cause an autonomous or semi-autonomous software service, program, bot, crawler, artificial-intelligence agent, or other automated system, referred to as an “Agent,” to access or interact with the Services.
An Agent must not access or interact with the Services where access has been blocked or prohibited.
An Agent accessing the Services must:

not conceal its automated nature;

not imitate human interaction to defeat access controls;

not bypass CAPTCHAs or security systems;

damage caused by events outside our reasonable control.
Some jurisdictions do not permit the exclusion of certain implied warranties or statutory conditions. In those jurisdictions, the above exclusions apply only to the maximum extent permitted by law.
Section 23 — Limitation of Liability
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
To the fullest extent permitted by law, Solitude Sauna and its directors, officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss arising from the Services or a product purchased through the Services.
This may include loss of profit, loss of revenue, loss of business opportunity, loss of anticipated savings, loss of data, loss of use, accommodation expenses, or other consequential loss.
To the fullest extent permitted by law, Solitude Sauna is not responsible for loss, damage, delay, or injury to the extent caused or contributed to by:

an unsuitable or improperly prepared foundation;

inadequate drainage;

improper installation;
-
improper electrical work;
-
customer or third-party modifications;

unauthorized repairs;
-
misuse or abuse;

failure to follow product instructions;

failure to maintain the product;

failure to address known damage;

insufficient delivery access;

inaccurate customer information;

customer-requested placement;

commercial use not approved in writing;

independent contractors;
-
landscaping, surface, driveway, lawn, or property conditions;

severe weather;

fire;
-
flooding;

natural disaster;

excessive snow accumulation;

falling trees or branches;

pests;

vandalism; or

another event outside our reasonable control.
Solitude Sauna is not responsible for cosmetic marks or property disturbance reasonably resulting from delivery equipment operating on surfaces or access routes selected or approved by the customer, except where caused by negligence for which liability cannot legally be excluded.
Where liability may legally be limited, Solitude Sauna’s total aggregate liability relating to a product order will not exceed the amount actually paid to Solitude Sauna for the product or service giving rise to the claim.
The limitations in this section apply regardless of whether a claim arises in contract, negligence, tort, strict liability, statute, or another legal theory, and even where the possibility of loss was known.
Section 24 — Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Solitude Sauna, Shopify, and their respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, damages, and reasonable legal expenses arising from:

your material breach of these Terms;

your violation of applicable law;
-
your infringement of another person’s rights;
-
your unauthorized modification or misuse of a product;
-
content or Feedback submitted by you; or
-
your unlawful access to or use of the Services.
We will provide reasonable notice of an indemnifiable claim.
A failure to provide prompt notice will not relieve you of your obligations unless the delay materially prejudices your ability to respond.
We may control the defence and settlement of a claim at your expense, including the reasonable selection of legal counsel.
We will not agree to a settlement imposing a non-monetary obligation directly on you without your consent, which must not be unreasonably withheld.
You agree to provide reasonable cooperation in the defence of an indemnified claim.
This section does not require a consumer to indemnify us for our own negligence, misconduct, breach of law, or responsibility that cannot legally be transferred.
Section 25 — Force Majeure
Solitude Sauna is not responsible for a failure or delay in performing an obligation where the failure or delay is caused by an event beyond our reasonable control.
Such events may include:

severe weather;

natural disasters;

fire;
-
flooding;
-
epidemic or pandemic;
-
war;
-
terrorism;
-
civil unrest;
-
labour disruption;
-
port closure;
-
border closure;
-
customs delay;
-
government action;
-
regulatory inspection;

transportation interruption;
-
vessel cancellation;
-
carrier shortage;
-
supply interruption;
-
utility failure;
-
cyberattack;
-
equipment failure; or
-
material shortage.
Where a force-majeure event occurs, affected obligations will be suspended for the reasonable duration of the event.
We will make commercially reasonable efforts to resume performance and communicate material changes.
This section does not eliminate any cancellation or refund right that must be provided under applicable law.
Section 26 — Severability
If any provision of these Terms is determined to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law.
Any unenforceable portion will be severed or interpreted as narrowly as necessary without affecting the validity and enforceability of the remaining provisions.
Section 27 — No Waiver
A failure or delay by Solitude Sauna in exercising or enforcing a right does not waive that right.
A waiver is effective only where it is clearly provided in writing by an authorized representative of Solitude Sauna.
A waiver concerning one event does not constitute a continuing waiver or a waiver concerning another event.
Section 28 — Entire Agreement and Order of Precedence
These Terms, together with our posted policies, accepted order confirmation, invoice, product specifications, and any signed purchase agreement, constitute the agreement between you and Solitude Sauna concerning the applicable transaction.
They replace prior discussions, representations, proposals, and communications concerning the same subject matter, except where a prior representation cannot legally be excluded.
If there is a conflict among documents, the following order of precedence will generally apply:

a signed written purchase agreement;

a written order confirmation or invoice;
-
a product-specific written warranty;
-
our Refund and Cancellation Policy;

our Shipping and Delivery Policy;
-
these Terms of Service; and
-
general website or promotional content.
A customer-specific written agreement applies only to the transaction identified in that agreement.
No oral statement modifies these Terms unless confirmed in writing by an authorized representative of Solitude Sauna.
Nothing in this section excludes liability for fraudulent or legally actionable misrepresentation.
Section 29 — Assignment
You may not assign, transfer, or delegate your rights or obligations under an accepted order or these Terms without our prior written consent.
Any attempted assignment made without consent may be ineffective.
We may assign or transfer our rights and obligations as part of a business restructuring, financing, asset transfer, corporate transaction, or sale of all or part of our business, provided that the assignment does not unlawfully reduce your existing rights.
Section 30 — Governing Law and Jurisdiction
These Terms of Service and any separate agreement through which Solitude Sauna provides products or services are governed by the laws of the Province of Nova Scotia and the federal laws of Canada applicable in Nova Scotia.
Subject to any mandatory consumer-protection right or jurisdictional rule that applies to you, disputes arising from these Terms or a purchase from Solitude Sauna will be brought before the courts of the Province of Nova Scotia, Canada.
You and Solitude Sauna submit to the jurisdiction of those courts, subject to any right that cannot legally be waived.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or an order unless the parties expressly agree otherwise in writing.
Section 31 — Mandatory Consumer Rights
These Terms must be interpreted consistently with applicable consumer-protection laws.
Nothing in these Terms is intended to:

waive a mandatory consumer right;
-
exclude a statutory condition that cannot be excluded;
-
prevent a customer from pursuing a legally available remedy;
-
shorten a mandatory cancellation period; or
-
limit liability where limitation is prohibited by law.
Where a provision of these Terms conflicts with a mandatory law, the mandatory law will prevail only to the extent of that conflict.
Section 32 — Headings
Section titles and headings are included for convenience only.
They do not limit, expand, or otherwise affect the interpretation of these Terms.

You may review the current version of these Terms on this page.
We may update these Terms from time to time to reflect changes to:

business practices;

Shopify functionality;

legal requirements;

delivery processes;

Updated Terms will be posted to the website with a revised “Last updated” date.
Where required by law, we will provide notice of material changes.
